Gap between two AGM

Dear All,

If XYZ holds its previous AGM at the end of Dec.06 what is the maximum time limit for holding next AGM. Can it hold the next AGM in the month of Mar.08(within 15months) without ROC approval. If yes, it violates the provision of Sec.166 of the Companies Act, every company to hold one AGM in every year.

observe three conditions

- gap between two AGMs not to be more than 15 months
- AGM with in 6 months from the last date of financial year
- One AGM in every calander year

hello dear,

you r not clarifying that what is the date of AGM instead you r giving only the year ending period i.e. Dec' 06.

stil i am giving my comments, it may be useful mayn't.

always read section 166 with section 210, according to section 166 a company should hold AGM in every year and gap between 2 AGM can't be more than 15 months i.e. inclusive of 3 months ROC approval if AGM not held in during the period of 12 month from the last AGM.
further according to section 210 in case of subsequent AGM, the company should present its Annual Accounts within 6 month from the end of financial in the AGM.

for more discussion please provide the proper date of AGM and year ending date
